Independent Contractor Agreement

AK Staffing hereafter referred to as (Virtual Contact Center Support Company) and -listed below-, hereafter referred to as CSP (Client Support Professional). The term “Client Support Professional” or “CSP” is an individual who is engaged by Virtual Contact Center Support Company as an Independent Agent (Contractor) and certified by its client to provide services from remote locations on various client programs. Virtual Contact Center Support Company and the CSP hereby agree to the following:


1.  CSP is an Independent Contractor and is not an employee. Virtual Contact Center Support Company will not withhold any amounts from the CSP's service revenue or incentives for Federal or State Taxes under this agreement. CSP understands and agrees Virtual Contact Center Support Company will not pay any amounts for Unemployment Compensation or Workers Compensation for the CSP. CSP is an independent agent and acknowledges he/she will receive an IRS Tax Form 1099 at the end of each service year. Form 1099s will be mailed no later than January 31st of each year for service provided during the previous calendar year. Virtual Contact Center Support Company and CSP acknowledge that the services to be provided by the CSP are contemplated to be temporary and nonpermanent in nature.


2. Independent Contractor Relationship CSP is an Independent Contractor in the business of providing services for profit, using its own facilities, equipment, employees and other assets owned, or contracted for, by the CSP. All expenses associated with the CSPs provision of services under this Agreement shall be borne by the CSP.

3. This Agreement is Contingent on CSP's continued active “Service of Work “Agreement; hereafter called “SOW” contract with Virtual Contact Center Support Company and our sponsor; Arise Virtual Solutions, Inc., hereafter called Arise. CSP acknowledges CSP is responsible to inform Virtual Contact Center Support Company of any changes that would affect the CSP's ability to service or honor the terms of the SOW. This agreement will NOT override ongoing company policies. Although referenced and added in the agreement, our policy regarding CSP administrative fees were standing company policies BEFORE this agreement and will continue after this agreement expires or is terminated. CSP acknowledges that termination of the CSPs active SOW or this agreement will NOT cancel our CSP administrative (Arise) fee policy or remove the CSP from our agent service roster.


4. CSP’s association with our client is to PROVIDE SERVICE ONLY. It is understood and agreed that CSP has no association with our client Arise other than to provide service to our client from a remote location. CSP understands that there is no contract or service agreement between him/her and our client Arise. CSP agrees not to interfere with the business relationship between Virtual Contact Center Support Company and our client Arise. CSP also agrees not to contact our client for any reason, unless requested to do so by our client or to resolve a service issue through Arise Tech Support. We must be notified of any other contact. Unapproved contact with our client will be grounds for immediate termination of CSPs SOW.

Non-Disclosure Agreement 

 

 

This Non-disclosure Agreement (this "Agreement") is made effective as of -the date below- (this "effective date"), by and between AK Staffing LLC (the "Owner"), and -the name below- (the "Recipient").

 

The Owner has requested, and the Recipient agrees that the Recipient will protect the confidential material and information which may be disclosed between the Owner and the Recipient. Therefore, the parties agree as follows:

 

I. CONFIDENTIAL INFORMATION. The term "Confidential Information" means any information or material which is proprietary to the Owner, whether owned or developed by the Owner, which is not generally known other than by the Owner, and which the Recipient may obtain through any direct or indirect contact with the Owner. Regardless of whether specifically identified as confidential or proprietary, Confidential Information shall include any information provided by the Owner concerning the business, technology and information of the Owner and any third party with which the Owner deals, including, without limitation, business records and plans, trade secrets, technical data, product ideas, contracts, financial information, pricing structure, discounts, computer programs and listings, source code and/or object code, copyrights and intellectual property, inventions, sales leads, strategic alliances, partners, and customer and client lists. The nature of the information and the manner of disclosure are such that a reasonable person would understand it to be confidential.

 

II. PROTECTION OF CONFIDENTIAL INFORMATION. The Recipient understands and acknowledges that the Confidential Information has been developed or obtained by the Owner by the investment of significant time, effort and expense, and that the Confidential Information is a valuable, special and unique asset of the Owner which provides the Owner with a significant competitive advantage and needs to be protected from improper disclosure. In consideration for the receipt by the Recipient of the Confidential Information, the Recipient agrees as follows:


A. No Disclosure. The Recipient will hold the Confidential Information in confidence and will not disclose the Confidential Information to any person or entity without the prior written consent of the Owner.

 

B. No Copying/Modifying. The Recipient will not copy or modify any Confidential Information without the prior written consent of the Owner.

STATEMENT OF WORK

 

This Statement of Work for Call Center Services (“SOW”) is dated -listed below-  and is between AK Staffing LLC (“Call Center Company”) and -listed below-. (“Customer Support Specialist”).  Collectively, Customer Support Specialist and Customer Support Specialist will be referred to as the “parties" and individually as a “party”.

  

Customer Support Specialist wishes to provide call center services for client selected by contractor listed above using the Arise platform.

 

In consideration of the mutual covenants included in this SOW, and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

 

1.             GENERAL.  The Agreement is incorporated herein by reference.  Capitalized terms used in this SOW will have the meanings set forth in the Agreement unless otherwise specifically defined in this SOW.  In the event of a conflict between the provisions hereof and those of the Agreement, the provisions of the Agreement will prevail, except to the limited extent that such conflicting terms of the Agreement are expressly superseded in this SOW.

 

2.             ARISE SERVICES.  Arise agrees to provide the Arise Services to Customer Support Specialist during the term of this SOW.

 

2.1          Platform Usage Fee.  Customer Support Specialist agrees to pay Arise a bimonthly usage fee for the Arise Services (the “Platform Usage Fee”) of $59.99. Call Center Company will invoice Customer Support Specialist and Customer Support Specialist will pay the Platform Usage Fees on a bi-monthly basis (the “Invoice Periods”).  The Invoice Periods will be the 1st to the 15th of each month and the 16th to the end of the month.

 

2.2          Support Services.  In conjunction with the Arise Technology, Arise agrees to provide Customer Support Specialist with access to optional support services provided by third parties which supplement the Arise Technology.  Specifically, Arise agrees to contract with entities that can provide the resources upon request of the Customer Support Specialist, including enhancement and/or technique sessions and informational sessions regarding the Program. Use of any such support services is in the sole and absolute discretion of the Customer Support Specialist.

 

3.             Customer Support Specialist.  Customer Support Specialist will perform the following services for the Program:

 

3.1          Customer Support Specialist will provide the following Call Center Services:


·       Inbound and outbound call center services assisting the Client’s customers; inbound calls for roadside

assistance and other service requests from Client’s customers and/or Client’s customer account representatives; possible outbound calls for status and clarification purposes; transferring of inbound calls or outbound calls to other Client customer-designated internal support departments or Client’s customer account representatives; service provider calls consisting of outbound coordination to Client’s customer’s independent service providers including telefaxing dispatch instructions; and possible follow up calls to Client’s independent service providers for clarification and/or additional calls for secondary services.

Consent to Paperless Delivery of Tax-Related Documents

Please read this information carefully and print or download a copy for your files.


You may elect to receive tax-related documents from AK Staffing LLC or its affiliates via electronic delivery either via email or delivered through a web interface, where you can go to a web site and download the statement. However, IRS guidelines require that you must first review these disclosures and provide your affirmative consent to receiving information in an electronic format. This Consent to Paperless Delivery ("Consent") is effective until withdrawn by you. This is your copy of the Consent.


By agreeing to accept required tax–related documents electronically, you also agree that:

1. Your computer system meets the hardware and software requirements stated below under "System Requirements"; and

2. You will promptly notify AK Staffing LLC of any change in your e-mail address by providing your merchant taxpayer identification number and merchant name as it appears on your Form W-9 either by calling AK Staffing at 769-447-3330, or by writing to:

Consent to Paperless Delivery of Tax-Related Documents

By signing on the line stating, "I have read the Consent and consent to paperless delivery", you acknowledge that you have read and understand this Consent, and that you affirmatively consent to receive and acknowledge that you can access, receive, print and retain your tax-related documents (including IRS Form 1099) electronically. You agree that such information may be communicated online by posting notices, disclosures and other communications on our website, company portal, or by sending such information to you by e-mail. Your consent to receive tax-related documents electronically will be effective until withdrawn (see "Withdrawal of Consent"). If you do not specifically consent to the electronic delivery of tax-related documents by clicking the applicable checkbox, you will continue to receive paper copies of all required tax-related documents, including Form 1099.


Additional Paper Copies

In addition to consenting to and obtaining electronic copies, you may request additional paper copies of your tax-related documents by contacting AK Staffing LLC as provided above. Requesting a paper copy of your tax related documents will not be considered a withdrawal of your consent for paperless delivery. You must formally withdraw consent to begin regularly receiving a paper copy of your future tax-related documents.
